Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Raya Health, Inc. ("Raya Health," "we," "us," or "our") governing your access to and use of our AI-powered maternal healthcare platform, including our website, mobile applications, and related services (collectively, the "Platform").

BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PLATFORM.

If you are using the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

Description of Services

Platform Overview

Raya Health provides an AI-powered platform that connects patients with certified doulas for maternal healthcare support. Our services include doula matching based on your preferences, needs, and location; care coordination and appointment scheduling; communication facilitation between patients and doulas; insurance verification and benefits coordination; educational resources and wellness content; and administrative support for doula services.

AI-Powered Features

Our Platform utilizes artificial intelligence to enhance service delivery, including matching algorithms, administrative automation, and personalized recommendations. AI features are designed to support, not replace, human decision-making in your healthcare journey.

Not Medical Advice

IMPORTANT: Raya Health is not a healthcare provider. Doula services are supportive services and do not constitute medical care. The Platform and its content are for informational purposes only and should not be considered medical advice, diagnosis, or treatment. Always consult with qualified healthcare providers for medical decisions. In case of emergency, call 911 or your local emergency services.

Eligibility

To use the Platform, you must:

Be at least 18 years of age
Have the legal capacity to enter into binding agreements
Reside in a jurisdiction where our services are available
Have valid health plan coverage through one of our partner insurers (for insured services)
Provide accurate and complete registration information

Account Registration and Security

Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You may not use another person's account without permission.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us at security@rayahealth.com of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

How We Use Your Information

Consent to Electronic Communications

By creating an account, you consent to receive electronic communications from us, including emails and text messages related to your account, appointments, services, and important updates. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

Text Message Terms

By opting in to receive text messages, you consent to receive SMS and MMS messages from Raya Health at the phone number you provide. These messages may include appointment reminders, care coordination updates, service notifications, and account alerts. Message frequency varies based on your activity and preferences. Message and data rates may apply. Your carrier may charge standard messaging fees.

Opting Out

You may opt out of text messages at any time by replying STOP to any message. You may opt out of marketing emails by clicking the unsubscribe link in any email. Note that you cannot opt out of transactional communications necessary for service delivery and account management while maintaining an active account.

User Conduct

You agree not to:

Use the Platform for any unlawful purpose or in violation of these Terms
Provide false, misleading, or inaccurate information
Impersonate any person or entity or misrepresent your affiliation
Interfere with or disrupt the Platform or servers
Attempt to gain unauthorized access to any part of the Platform
Use any automated means to access the Platform without our permission
Harass, abuse, or harm doulas, other users, or our staff
Transmit viruses, malware, or other harmful code
Use the Platform to collect information about other users without consent

Doula Services

Independent Contractors

Doulas available through the Platform are independent contractors and are not employees of Raya Health. While we verify credentials and conduct background checks, we do not control the manner in which doulas provide their services. You understand and agree that Raya Health is not responsible for the acts or omissions of doulas.

Scheduling and Cancellations

Appointments are scheduled through the Platform. Cancellation policies may vary. Please provide at least 24 hours notice for cancellations when possible. Repeated no-shows or late cancellations may result in limitations on your ability to schedule future appointments.

Payment and Insurance

Insurance Coverage

Many services are covered through your health plan. Coverage varies by plan and state. We will verify your eligibility and explain your coverage before services begin. You are responsible for understanding your benefits and any applicable copays, coinsurance, or deductibles.

Patient Responsibility

You are responsible for any charges not covered by your insurance, including services outside your plan's coverage, out-of-network services (if applicable), and any cost-sharing amounts required by your plan.

Intellectual Property

The Platform and all content, features, and functionality, including but not limited to text, graphics, logos, icons, images, audio, video, software, and the compilation thereof, are owned by Raya Health or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent.

Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT ENDORSE, WARRANT, OR GUARANTEE ANY SERVICES PROVIDED BY DOULAS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAYA HEALTH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR PERSONAL INJURY, ARISING FROM YOUR USE OF THE PLATFORM OR SERVICES OBTAINED THROUGH THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO RAYA HEALTH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Raya Health and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

Dispute Resolution and Arbitration

Binding Arbitration

Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in San Francisco, California, unless we agree otherwise. The arbitrator's decision shall be final and binding.

Class Action Waiver

YOU AND RAYA HEALTH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

Termination

We may suspend or terminate your access to the Platform at any time, with or without cause or notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitations of liability, and dispute resolution provisions.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in San Francisco County, California.

General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Raya Health.
Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect.
Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
Assignment: You may not assign your rights under these Terms. We may assign our rights without restriction.
Force Majeure: We shall not be liable for delays or failures due to circumstances beyond our reasonable control.
